Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, portals, and services provided by Altrusion (“Altrusion,” “we,” “us”) (collectively, the “Services”). By using the Services, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.

Registered platform users are additionally governed by the Mutual Non-Disclosure Agreement and Terms of Service presented and accepted in the portal at first sign-in, which is the controlling agreement for platform use and includes confidentiality, data-use, messaging, and export-control provisions beyond this summary.

1. The Services

Altrusion operates a supply chain intelligence platform that connects buyers with manufacturing suppliers, including opportunity discovery, AI-assisted matching, quoting, RFQ distribution, and proposal support. Features available to you depend on your subscription tier.

2. Accounts and eligibility

The Services are intended for business use. You are responsible for the accuracy of the information you provide, for maintaining the security of your sign-in credentials, and for all activity under your account. Accounts are accessed via email sign-in links or OAuth; do not share sign-in links.

3. Quotes and estimates

Instant quotes and price estimates generated by the platform are non-binding planning figures produced with the assistance of AI. Final pricing, lead times, and terms are established only in a definitive agreement between the parties to a transaction.

4. Customer content

You retain ownership of the specifications, drawings, and other materials you submit. You grant Altrusion a limited license to host, process (including with AI systems), and share that content as needed to provide the Services, for example, distributing an RFQ to matched suppliers. You are responsible for ensuring your submissions do not violate third-party rights or confidentiality obligations.

5. Export control

You must not submit export-controlled technical data (including data subject to ITAR or EAR) except through workflows expressly designated for it, and you are responsible for compliance with all applicable export-control laws. Altrusion may flag, hold, or decline content for export-control review.

6. Fees and billing

Paid subscriptions are billed through Stripe on the schedule shown at checkout. Trials convert to paid subscriptions unless cancelled before the trial ends. Transaction-based fees, where applicable, are described in your agreement with Altrusion. Fees are non-refundable except where required by law.

7. Acceptable use

• No scraping, reselling, or systematic extraction of platform data.
• No misrepresentation of identity, capabilities, or certifications.
• No use of the Services to violate any law or third-party right.
• No attempts to probe, disrupt, or circumvent platform security or rate limits.

8. Disclaimers

The Services are provided “as is.” Altrusion does not guarantee the accuracy of AI-generated outputs, the availability of any opportunity, or the performance of any buyer or supplier on the platform, and disclaims all implied warranties to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, Altrusion’s aggregate liability arising out of the Services is limited to the amounts you paid to Altrusion in the twelve months preceding the claim, and Altrusion is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost business.

10. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, non-payment, or risk to the platform or its users. Sections that by their nature should survive termination do so.

11. Changes to these Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance. Material changes will be reflected by the “Last updated” date above.

12. Governing law

These Terms are governed by the laws of the United States and the state in which Altrusion is organized, without regard to conflict-of-law rules.
